In general areas that need attention are:
  • Conditions typically include matters such as regulatory approvals and the lack of any material adverse change in the target's business.
  • Representations and warranties by the seller with regard to the company,
  • Covenants, which govern the conduct of the parties, tax filings and tax liability.
  • Termination rights, which may be triggered by a breach of contract, a failure to satisfy certain conditions.
  • Provisions relating to obtaining required shareholder approvals under state law and related SEC filings required under federal law, if applicable.
  • An indemnification provision, which provides that an indemnitor will indemnify, defend, and hold harmless the indemnitee(s) for losses.
  • Post-closing, adjustments may still occur to certain provisions of the purchase agreement, including the purchase price.
Initial Public Offering (Initial Public Offering)
We can advise and assist a clients on Initial public offering (IPO)or stock market launch , these are  a type of public offering in which shares of a company are sold to institutional investors and usually also retail (individual) investors; an IPO is underwritten by one or more investment banks, who also arrange for the shares to be listed on one or more stock exchanges.
